Scope and acceptance

These Terms of Use (the “Terms”) govern your access to and use of Hecto Predictions, including its websites, applications, account features, market-formation tools, vault interfaces, wallet views, content and related services (collectively, “Hecto Predictions” or the “Service”). The Service is operated by Hecto Finance Limited, a British Virgin Islands company (“Hecto,” “we,” “us” or “our”).

By creating an account, connecting a wallet, selecting an acceptance control or otherwise using the Service, you agree to these Terms and acknowledge the Privacy Policy and Risk Disclosure. If you do not agree, do not use the Service. Product-specific rules, formation terms, transaction confirmations or definitive agreements presented for a particular activity also apply. If they conflict with these Terms, the more specific document controls for that activity.

What Hecto Predictions does

Hecto Predictions provides a participant-backed process through which eligible users may propose, support, follow and manage market formations associated with private-market themes, reference companies or other permitted subjects. A formation may move through proposal, support, review, funding, launch, expiry, cancellation, settlement or other states described in the Service.

Labels such as “market,” “formation,” “vault,” “allocation,” “position,” “price,” “probability,” “funding,” “lock” or “settlement” describe product functions and do not by themselves establish the legal character of any instrument or transaction. The final rules and definitive documents displayed for an activity determine its rights and obligations.

Eligibility and restricted access

You must be at least 18 years old, have legal capacity to enter into these Terms, and use the Service only for yourself or an entity you are authorized to bind. You must provide accurate, current and complete information. Additional age, residency, investor-status, sophistication, accreditation, KYC, anti-money-laundering, sanctions, tax or product-appropriateness requirements may apply.

You must not use the Service if doing so is unlawful where you are located; if you are the target of sanctions administered by the United Nations, United Kingdom, United States, European Union or another applicable authority; if you act for a prohibited person; or if Hecto has restricted your jurisdiction or account. Hecto may request evidence and may delay, limit or refuse access where reasonably required for legal, compliance, security or operational reasons.

Accounts, credentials and wallets

You are responsible for activity under your account and for securing your password, email account, devices, wallet sessions, private keys and recovery material. Use only an account and wallet that you lawfully control. Notify legal@hecto.inc promptly if you suspect unauthorized access.

Hecto will not ask you to enter a seed phrase or private key into the Service. A legitimate authentication signature should prove control of a wallet and should not authorize an asset transfer. You are responsible for reviewing every wallet prompt. Hecto cannot recover private keys, reverse an irreversible ledger action or restore access to a self-custodied wallet.

Proposals and market formations

A proposal is a request for Hecto and other participants to consider a possible formation. Submission, support or display does not require Hecto to launch it. Hecto may review, prioritize, combine, modify, pause, reject or cancel proposals and formations based on demand, legality, data quality, venue support, liquidity, counterparty availability, product design, security or other legitimate factors.

A formation may fail to reach its target, expire, remain pending, become unavailable or be cancelled. Amounts may be unavailable while a formation is active, and refunds or releases may depend on network finality, operational review and the applicable formation rules. No timetable, funding target, launch status, allocation or outcome is guaranteed.

Reference companies and no direct ownership

Company names, logos, trademarks, funding rounds, valuations, prices and other reference data are used for identification and informational context. Unless definitive product documents expressly state otherwise, using or supporting a formation does not give you shares, voting rights, dividends, information rights, redemption rights or any direct ownership interest in a referenced company.

Hecto is not affiliated with, sponsored by or endorsed by a referenced company merely because that company appears in the Service. Reference data may be estimated, delayed, incomplete or obtained from third parties and is not a representation by the referenced company.

Digital assets and third-party infrastructure

The Service may display or support Canton Coin (CC), HECTO, stablecoins, wallet balances, distributed-ledger identifiers, third-party venues or other digital assets and services. Availability does not mean that Hecto endorses an asset, wallet, venue or provider or guarantees its legality, security, liquidity, value or continued operation.

Wallet providers, Canton participants, validators, venues, issuers, custodians, data sources and other third parties operate under their own terms and privacy practices. Hecto does not control their independent acts, fees, outages, insolvency, security or processing. You are responsible for reviewing their terms before using them.

Preview and transaction status

Where the Service identifies a feature as a demo, preview, mock, simulated, test or coming soon, it is provided for evaluation only. Simulated deposits, withdrawals, swaps, locks, funding, issuances, transfers and settlements do not move value or create enforceable transaction rights. Data in a local or preview runtime may reset.

A transaction becomes effective only when the Service expressly identifies it as live, you complete the required confirmation through an approved integration, and the relevant ledger or provider records the action. Do not treat a preview state, interface animation, estimated balance or pending status as proof of completion.

User submissions

You retain ownership of content you submit. You grant Hecto and its affiliates a worldwide, non-exclusive, royalty-free license to host, reproduce, format, analyze and display that content as reasonably necessary to operate, secure and improve the Service and evaluate or administer a proposal.

You represent that your submission is accurate to the best of your knowledge, lawful, not misleading, and does not contain confidential information you lack authority to disclose or infringe intellectual-property, privacy or other rights. Do not submit personal data that is unnecessary for a formation.

Fees, taxes and compliance

Fees, spreads, network costs, minimums and other charges will be disclosed where applicable and may change prospectively. Third parties may impose separate costs. You authorize the charges expressly shown before a live transaction is submitted.

You are responsible for determining and paying taxes arising from your activities and for obtaining independent advice. Hecto may collect tax information, withhold amounts, report activity or restrict access where required by law. Hecto may screen and monitor activity and may reject, freeze, report or unwind an action where legally required or permitted, subject to applicable rights.

Prohibited conduct

You must not use the Service to violate law, evade sanctions or access controls, launder proceeds, finance prohibited activity, manipulate a market or formation, trade on unlawfully obtained information, deceive others, impersonate a person, infringe rights, abuse promotions, automate abusive requests, scrape protected data, reverse engineer restricted components, introduce malicious code, interfere with integrity, probe another account, or bypass rate limits or security controls. You must not use the Service in a manner that creates an undisclosed conflict or falsely suggests Hecto or a reference company endorses you.

Intellectual property

The Service, software, designs, text, graphics, data compilations, Hecto names and marks are owned by Hecto or its licensors and protected by applicable law. Subject to these Terms, Hecto grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted. Third-party marks remain the property of their owners.

Changes, suspension and termination

Hecto may modify, maintain, pause or discontinue features; adjust formation rules; correct errors; or restrict the Service for security, compliance, technical, commercial or legal reasons. Where reasonably practicable, Hecto will give notice of a material adverse change affecting an active live activity.

You may stop using the Service at any time. Hecto may suspend or terminate access if you breach these Terms, create risk, fail required review, or if continued service becomes unlawful or impracticable. Provisions that by nature should survive—including ownership, disclaimers, liability, dispute and accrued-payment provisions—will survive.

No advice or fiduciary relationship

The Service and its content are informational and administrative. They are not investment, financial, legal, tax, accounting, valuation, cybersecurity or other professional advice; an offer or solicitation; a recommendation; or a suitability determination. Hecto does not act as your fiduciary, adviser, broker, custodian, trustee, agent or partner solely because you use the Service.

You must conduct your own assessment and obtain independent professional advice before committing funds, assets or rights. Past activity, participant support, reference prices and displayed probabilities do not predict future results.

Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Hecto disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, availability and uninterrupted or error-free operation. Hecto does not warrant any formation, data source, asset, wallet, venue, counterparty, network, allocation, liquidity, price, outcome or recovery. Nothing in these Terms excludes a guarantee, remedy or liability that cannot lawfully be excluded.

Liability and indemnity

To the fullest extent permitted by law, Hecto and its affiliates, directors, officers, employees, contractors and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss; lost profit, opportunity, goodwill or data; loss of digital assets; or loss caused by a formation outcome, market movement, wallet compromise, third-party service, network event, inaccurate reference data or unauthorized account access.

To the fullest extent permitted by law, Hecto’s aggregate liability arising from the Service or these Terms will not exceed the greater of US$100 and the fees you paid directly to Hecto for the Service during the 12 months before the event giving rise to the claim. This limit does not apply to fraud, willful misconduct, death or personal injury caused by negligence, or another liability that applicable law does not permit Hecto to limit. You will indemnify Hecto against third-party claims and reasonable costs arising from your unlawful misuse, material breach or infringement of another person’s rights.

Governing law and disputes

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-laws rules. Before starting a formal claim, send written notice describing the dispute to legal@hecto.inc and allow 60 days for good-faith resolution.

To the extent permitted by law, an unresolved dispute will be resolved by confidential, binding arbitration seated in the British Virgin Islands, conducted in English by one arbitrator, on an individual rather than class or representative basis. You and Hecto may seek urgent injunctive relief in a competent court. If you are a consumer, this section does not deprive you of mandatory protections, regulators, courts or dispute procedures that cannot lawfully be waived in your country of residence.

General terms and contact

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Hecto’s failure to enforce a provision is not a waiver. You may not assign these Terms without Hecto’s consent; Hecto may assign them in connection with a reorganization, financing, sale or transfer of the Service. These Terms and applicable product documents are the entire agreement concerning their subject matter.

Hecto may update these Terms prospectively by publishing a revised version and changing the effective date. Material changes will be communicated where required. Questions may be sent to legal@hecto.inc.
